Seller Agreement

1. Scope
This Seller Agreement (“Agreement”) supplements the Reliq Terms of Service and governs your use of the Reliq platform (“Platform”) as a seller. By creating a listing, you agree to the terms below.
2. Representations and Warranties
By listing an asset on Reliq, you represent and warrant that:
2.1 Sole Ownership
You are the sole owner of the asset, or have full legal authority to sell it. The asset is free from all liens, encumbrances, claims, security interests, or rights of any third party. No other individual, company, or entity has a competing claim to the asset or any component thereof.
2.2 Intellectual Property Clarity
All code in the asset is either (a) original work authored by you or your employees, (b) properly licensed open-source software used in compliance with its license terms, or (c) third-party code for which you hold a valid license permitting transfer. All contractor or freelancer IP assignments have been properly executed and documented.
2.3 Technical Accuracy
The technical specifications, metrics, and descriptions provided in your listing are accurate to the best of your knowledge. All known bugs, technical debt, security vulnerabilities, and operational limitations are disclosed in the listing description or during due diligence.
2.4 No Malicious Code
The asset does not contain backdoors, undisclosed data collection mechanisms, malware, ransomware, or any code designed to damage, disable, or gain unauthorized access to systems. You have not intentionally obfuscated code to hide functionality.
2.5 Legal Compliance
The asset and your listing comply with all applicable laws and regulations. You have the legal right to operate, sell, and transfer the asset in your jurisdiction.
2.6 User Data Legality
If the asset includes user data (registered users, email lists, analytics data), such data was lawfully collected with appropriate consent, can be legally transferred to a new owner, and is disclosed in the listing. You agree to provide documentation of data collection practices and consent mechanisms to the buyer upon request.
3. Verification
You agree to participate in the Reliq verification process, which may include:
- Connecting your GitHub account for repository analysis
- Connecting analytics platforms for traffic and revenue verification
- Domain ownership verification via DNS records
- Identity verification through Persona (Level 2 or 3 depending on transaction value)
- Automated license scanning, security scanning, and code quality analysis
Refusal to complete required verification steps may result in listing rejection or removal.
4. Platform Fees
You acknowledge and accept the Reliq fee structure as outlined in the Terms of Service (8% under $50K, 5% for $50K–$200K, 4% above $200K, minimum $200). Fees are deducted from the transaction amount at escrow release. Escrow processing costs are included in the platform fee and are not charged separately.
5. Transaction Process
Upon accepting a buyer’s offer, you commit to:
- Completing the Asset Transfer Agreement and all items on the transfer checklist (code repositories, domains, SSL certificates, hosting credentials, user data exports, email lists, social media accounts, and documentation)
- Responding to buyer questions within 72 hours during the inspection period
- Providing 14 days of post-transfer support for operational questions
- Cooperating in good faith with the dispute resolution process if invoked
6. Indemnification
You agree to indemnify, defend, and hold harmless Reliq, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorney’s fees) arising from:
- Any breach of your representations and warranties
- Any misrepresentation in your listing
- Any IP infringement claims related to the transferred asset
- Any failure to comply with applicable laws
7. Exclusivity During Transaction
Once you accept a buyer’s offer and a Letter of Intent is executed, you agree not to solicit, negotiate, or accept offers from other parties for the same asset until the transaction is completed, cancelled, or the exclusivity period expires as defined in the LOI.
8. Listing Accuracy and Updates
You must keep your listing information current. If material facts change after listing (e.g., loss of users, new legal claims, change in revenue), you must update the listing within 48 hours. Failure to disclose material changes may result in listing removal and account suspension.
9. Termination
You may withdraw a listing at any time, provided no active offer or escrow transaction is in progress. Reliq may remove listings or suspend seller accounts for violation of this Agreement, the Terms of Service, or at our sole discretion with notice.
10. Governing Law
This Agreement is governed by the laws of the State of Delaware, USA, and is subject to the dispute resolution provisions in the Terms of Service.
