Terms of Service

1. Acceptance of Terms

By accessing or using the Reliq platform (“Platform”) operated by Reliq (“we,” “us,” or “Company”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Platform.

2. Platform Description

Reliq is a marketplace facilitator that connects buyers and sellers of digital assets including SaaS products, applications, domains, APIs, and code libraries. Reliq is not an escrow agent, money transmitter, financial advisor, or legal counsel. All escrow services are provided by Escrow.com, a licensed escrow agent.

3. Eligibility

You must be at least 18 years old and able to form a legally binding contract. By using the Platform, you represent that you meet these requirements.

4. Accounts

You are responsible for maintaining the security of your account credentials. You must provide accurate and complete information during registration and keep your information current. You may not share accounts or transfer your account without our consent.

5. Marketplace Fees

Reliq charges transaction fees based on the final sale price:

  • Under $50,000: 8% of transaction value
  • $50,000 – $200,000: 5% of transaction value
  • Over $200,000: 4% of transaction value

Minimum fee: $200 per transaction. Fees are inclusive of escrow processing costs — no separate escrow charge is passed to users. Fees are deducted from the transaction at closing and are non-refundable except where a full refund is granted under our dispute resolution process.

Subscription plans (Free, Pro $29/month, Business $99/month) provide additional features. Subscription fees are billed monthly and may be cancelled at any time.

6. Listings and Seller Obligations

By creating a listing, you represent that all information provided is accurate to the best of your knowledge. Sellers must execute a separate Seller Agreement with additional warranties regarding intellectual property ownership, code quality, and asset disclosure. All listings are subject to review and may be rejected or removed at our discretion.

7. Transactions and Escrow

All transactions exceeding $500 are processed through Escrow.com. Reliq facilitates the transaction workflow (interest, offer, acceptance, transfer) but does not hold, control, or transmit funds at any point. The escrow relationship is governed by Escrow.com’s own terms and conditions.

Buyers are granted an inspection period (3–14 days depending on transaction size and complexity) during which they may accept or reject the transferred assets. Disputes initiated during the inspection period follow the process described in Section 12.

8. Due Diligence Services

Reliq offers automated and manual due diligence services at three tiers: Basic (included), Enhanced (Pro subscribers), and Comprehensive ($499 add-on). These reports are informational services only and do not constitute professional legal, financial, or technical advice. Reliq makes no warranties regarding the accuracy or completeness of DD reports. Buyers are advised to seek independent professional counsel before completing any transaction.

9. KYC and Identity Verification

Certain actions (listing creation, transactions above specified thresholds) require identity verification through our partner Persona. By using these features, you consent to the collection and processing of identity documents. Transactions exceeding $5,000 require Level 2 verification (government ID). Transactions exceeding $25,000 require Level 3 enhanced verification.

10. Intellectual Property

Reliq does not claim ownership of any assets listed on the Platform. Sellers retain all rights to their assets until a transaction is completed and the Asset Transfer Agreement is executed. Buyers acknowledge that intellectual property rights transfer only upon completion of the full transaction process, including escrow release.

11. Prohibited Conduct

You may not:

  • List assets you do not own or have the right to sell
  • Provide false or misleading information in listings or verification
  • Circumvent the Platform to complete transactions off-platform
  • Use the Platform for money laundering, fraud, or illegal activity
  • Interfere with Platform security, integrity, or performance
  • Scrape, harvest, or collect data from the Platform without consent

12. Dispute Resolution

Disputes follow a four-stage process:

  1. Inspection Period (up to 14 days) — buyer documents issues and may reject the transfer
  2. Direct Negotiation (7 days) — Reliq-facilitated communication between parties
  3. Reliq Mediation (7 days) — Reliq reviews evidence and proposes a resolution
  4. Binding Arbitration — administered by JAMS or AAA, with simplified proceedings for claims under $25,000

13. Limitation of Liability

To the maximum extent permitted by law, Reliq’s total liability is limited to the greater of (a) the amount you paid to Reliq in the six months preceding the claim, or (b) $100 USD. Reliq is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

For transaction-specific claims, liability is limited to (a) refund of platform fees paid for that transaction, or (b) re-performance of DD services at no cost.

14. Indemnification

You agree to indemnify and hold Reliq harmless from any claims, losses, or damages arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

15. Modifications

We may update these Terms at any time. Material changes will be communicated via email or in-platform notification at least 30 days before taking effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
